The following terms and conditions govern your use of the Site and contain warranty and liability disclaimers. Please read them carefully before proceeding to use the Site. You will be legally bound by them whether or not you choose to read them. By using the Site, you will be taken to have read, understood and accepted these terms and conditions in the same way as if you had signed a printed version, and they will continue to apply every time you use the Site. If you do not accept these terms and conditions, do not use the Site.
1.1 The “Site” means the web sites (including their constituent pages) at the URL onlinepressoffice.tnrcommunications.co.uk/.
1.2 The Site is owned and operated by The Press Association Limited (registered in England under the number: 5946902) of 292 Vauxhall Bridge Road, London SW1V 1AE ("TNR").
2. INTELLECTUAL PROPERTY
2.1 The copyright, database rights and all other intellectual property rights ("Intellectual Property Rights") in: (a) the services made available to you via the Site including, but not limited to, all software used on and/or forming part of those services (the "Services"), and (b) all content appearing on, or made available to you via, the Site including, but not limited to, text, photographs, footage, images, captions attached to any photographs, video or images, graphics, audio and any other material (the "Content") and the manner in which the Content is presented or appears on, or is made available to you via, the Site is the property of TNR or its licensors, and all rights are reserved.
2.2 Any names, images and/or logos appearing on the Site which identify TNR, The Press Association Limited, PA Group Limited or any other third party and/or their products and services are proprietary marks of the TNR, The Press Association Limited, PA Group Limited and/or such third parties, as the case may be. Nothing in these terms and conditions shall be construed as conferring any licence or right under any trademark or patent of TNR, The Press Association Limited, PA Group Limited or any other third party.
2.3 You acknowledge that the Intellectual Property Rights in certain software, services and other information forming part of the Services and the Content respectively are the property of third parties, and agree to be bound by any restrictions imposed by such third parties.
3. USE OF THE SITE, SERVICES AND CONTENT
3.1 You will need to log in to use the Site. Each time you log in to use the Site you will be asked to provide your name, the name of the organisation you represent and a valid email address and to enter the password provided to you by TNR. Content will be made available in the context of a particular story, project or event (a “Project”) in order to provide information about and promote such Project. The Site will have a separate password protected area dedicated to each Project. You may share the password with other members of your organisation. Please note that you will be responsible for all use of the Site, the Services and the Content using your username. TNR reserves the right to change the password if reasonably necessary. If you forget the password please contact firstname.lastname@example.org. You warrant that any personal information you provide to TNR about yourself when logging in or at any time will be true, accurate, current, complete.
3.2 You may, subject to clauses 3.3 to 3.7 below, use the Services and view, download, use and publish the Content only for the purposes of current news reporting and/or criticism and review worldwide in all media provided that:
(a) You will publish Content only in relation to the Project in connection with which such Content has been made available to you via the Site;
(b) You will publish the Content only in an editorial context;
(c) You will not edit, adapt or change any Content in a manner that distorts the sense or meaning of such Content;
(d) You will publish photographs and still images only as provided to you without any edit, adaptation or change save for good faith cropping and as reasonably necessary to fit the format (including the graphical interface) of any publication or service; and
(e) You will not remove or alter any copyright or other proprietary notices contained in the Content.
3.3 Unless expressly stated otherwise on the Site in relation to such Content, and subject clause 3.7 below, the following licence periods will apply to your publication of the Content:
(a) You may publish A-Roll for a period of 30 days from date of download.
(b) You may publish all Content other than A-Roll for an unlimited licence period provided that your use of such Content is for the purposes set out in clause 3.2 above.
3.4 You may only use the Content as part of your own owned and operated services and will not supply any of the Content to any third party’s publication or service without the express prior permission of TNR.
3.5 Unless expressly stated otherwise on the Site in relation to such Content, and subject to clause 3.7 below, you may not use, publish or distribute the Content in or via video streaming or social media platforms or services, for example, blogs, Facebook, YouTube and Twitter.
3.6 You may not use the Content in any way that is or might be deemed to be defamatory, libellous, pornographic, obscene, unlawful or to suggest a sponsorship or endorsement or official relationship that does not exist.
3.7 Certain Content may be subject to additional restrictions on permitted use or wider permitted usage rights that are not set out in these terms and conditions (“Additional Restrictions”). Additional Restrictions, including third party restrictions, may be notified to you on the ‘Restrictions’ page of the Site and/or in the B-Roll slates. You agree to comply with any Additional Restrictions.
3.8 Unless expressly stated otherwise on the Site in relation to such Content, TNR does not offer any licence and gives no warranty or representation in respect of: (a) the existence or validity of any model, property (or other) releases in respect of any Content; (b) the use of names, people, likenesses, trade marks (registered or unregistered), music or works of art depicted in any Content.
3.9 Except as expressly set out in clause 3.2 above, the Services and the Content may not be used or stored for any purpose, or reproduced or distributed, except with the express written permission of TNR and subject to any terms and conditions imposed by TNR on such use including, but not limited to, you giving prior written notice to TNR of the intended use of the Content (together with such other information as to such use TNR may reasonably require) and paying the appropriate copyright and/or usage fee to TNR and/or its third party licensors.
3.10 You may not, without the express written permission of TNR: (a) include any link from any other website or Internet service to all or any part of the Site, the Services or the Content except for a link from any other website/Internet service to the home page of the Site, or (b) amend, edit, frame or modify (as the case may be) all or any part of the Site or the Services.
3.11 The licence granted to you by TNR to use the Site, the Services and/or the Content will automatically terminate if you breach any of these terms and conditions.
4. LINKS TO THIRD PARTY WEBSITES
The Site may contain links to various websites that are operated by third parties over whom TNR has no control. TNR therefore does not make any representation - and does not accept any liability - in respect of the content, products or services available from such websites, or the business of such third parties. Any dealings with third parties, including advertisers and merchants, accessed using the Site shall be entirely at your own risk.
5. LIMITS ON LIABILITY
5.1 The Site, Services and the Content are provided on an ‘as is’ and ‘as available’ basis and TNR gives no warranty or representation of any kind relating to the Site, Services, Content or otherwise. While every effort is made to ensure the availability and accuracy of the Services and the Content, TNR does not warrant the availability of the Services will be uninterrupted or the Content or that the Services or the Content will be error free.
5.2 TNR accepts no responsibility for any use made of the Services or any of the Content. TNR shall not be liable:
(a) in any circumstances for any loss of profits, loss of revenue, loss of or damage to goodwill, loss of contracts, loss of customers, loss in connection with third party claims, or any indirect, special or consequential loss (even if the party concerned has been advised of the possibility of such loss), and/or
(b) for any failures, interruptions, delays or other matters of a similar nature arising out of circumstances beyond its reasonable control, and/or
(c) for any other loss suffered in connection with use of the Services or the Content to the fullest extent that TNR may exclude or limit such liability at law.
5.3 Nothing in this Agreement shall limit TNR’s liability for fraud or for death or personal injury caused by its negligence or in relation to any other liability which cannot be excluded or limited by law.
5.4 You agree and acknowledge that these terms and conditions state TNR’s entire liability of whatever type of nature to you.
7. ENTIRE AGREEMENT
These terms and conditions constitute the entire agreement between you and TNR in relation to your use of the Site, the Services and the Content and they supersede all other terms or communications (whether in writing, by email or oral) between you and TNR with respect to the Site, Services and/or Content. No other terms shall apply and no amendments shall be effective unless expressly agreed otherwise in writing and signed by an authorised signatory on behalf of each party. You acknowledge that you have not relied on any representation made by TNR that has not been set out in these terms and conditions.
If any provision of these terms and conditions is held to be void or unenforceable in whole or in part, the terms and conditions shall continue in force in relation to the unaffected provisions and the remainder of the provision in question to the maximum extent permissible so as to give effect to the intent of the parties.
9. GOVERNING LAW AND JURISDICTION
These terms and conditions shall be governed by and construed in accordance with English law and each of the parties hereby submits to the exclusive jurisdiction of the English courts.
